# Morphisec Terms of Use _Last updated: July 21, 2022_ Morphisec Information Security 2014 Ltd. ("Morphisec") operates the website Morphisec.com and the support portal at support.morphisec.com/portal. These Terms of Use set forth legally binding conditions for using the Site and all Content (information, writings, images, and other materials) displayed on it. Your use of the Site constitutes acceptance of these Terms. If you do not agree, do not use the Site or Content. These Terms must be read together with the [Privacy Policy](https://www.morphisec.com/privacy-policy/) and [Cookie Policy](https://www.morphisec.com/cookie-policy/); together they form the entire agreement between you and Morphisec regarding the Site. ## 1. Eligibility and Permitted Use You may use the Site and Content solely for internal, personal, non-commercial purposes—to learn about Morphisec products and services. Your use must comply with all applicable law and these Terms. Morphisec may terminate or suspend your access without notice if you are ineligible or non-compliant, at its sole discretion. You receive a limited, non-exclusive, non-sublicensable, non-transferable, revocable right to access and use the Site and Content only as stated here and in accordance with applicable law. ## 2. Modifications to Terms Morphisec reserves the right to modify these Terms at any time. Changes become effective ten (10) days after posting revised Terms on the website. Continued use after that date means you accept the changes. If you do not agree to revised terms, refrain from using the Site and Content. ## 4. Site Changes and Content Control Morphisec reserves the right to change the Site, suspend, discontinue, delete, modify, or remove any Content or products and services offered via the Site at any time without prior notice, at its sole discretion. ## 5. Registration and User Accounts Certain Site functionalities require an active client account or registration. You must create a username and password ("Credentials") and may be required to provide your first and last name, work email address, phone number, workplace name, country, workplace size (number of employees), role, and other information. You represent and warrant that all registration information is accurate and truthful, and you agree to maintain its accuracy. You are responsible for safeguarding your Credentials and all actions taken using them. Credentials are personal and must not be shared. Morphisec may terminate your registration or refuse Site access if registration information proves false, inaccurate, or incomplete. Registration of more than one account per individual is not permitted. Automatic generation of multiple accounts by individuals or organizations is restricted and may result in legal action. Morphisec will keep submitted information confidential in accordance with its Privacy Policy. ## 6. Downloadable Content for Registered Users Morphisec may make Content available for download to registered users solely for internal, personal, non-commercial purposes and in strict accordance with these Terms and applicable law. Morphisec does not guarantee or warrant that downloaded Content will be free of viruses, harmful code, components, files, or programs. ## 7. Third-Party Links The Site may link to third-party websites, information, or content as a convenience only. Morphisec exercises no control over such third-party sites and is not responsible for their content, accuracy, or opinions. Morphisec does not investigate, monitor, or verify third-party sites for accuracy or completeness. Links do not constitute or imply endorsement, sponsorship, or recommendation by Morphisec. Morphisec is not liable for third-party sites, their availability, or their content. By accessing third-party sites through links, you leave the Site and become subject to their terms of use and privacy policies. ## 8. Intellectual Property Rights Morphisec owns all right, title, and interest in the Site and Content, including patents, copyrights, trade secrets, trademarks, and other intellectual property and proprietary rights, and any improvements, updates, upgrades, corrections, modifications, or work products thereof. Except as explicitly stated, you are granted no rights in the Site, Content, or associated intellectual property. Trademarks, logos, and service marks displayed on the Site are Morphisec's exclusive property or the property of other third parties. Morphisec does not warrant that the Site will operate without interruption, bugs, or errors. All express, implied, and statutory warranties—including warranties of merchantability, fitness for a particular purpose, non-infringement, security, suitability, reliability, availability, timeliness, accuracy, and performance—are expressly disclaimed to the fullest extent permitted by law. Morphisec disclaims all responsibility or liability for the accuracy, content, completeness, legality, reliability, operability, or availability of any Content, information, or material displayed on or linked to the Site. Morphisec disclaims responsibility for any harm resulting from downloading or accessing Content, information, or material through the Site. No oral or written statement from Morphisec or anyone on its behalf creates any warranty unless expressly and explicitly set forth in these Terms. ## 10. Limitation of Liability To the fullest extent permitted by law, Morphisec shall have no liability whatsoever in connection with these Terms or your use of the Site or Content, except for liability arising from Morphisec's fraud or willful misconduct. ## 11. Indemnification You agree to indemnify, defend, and hold harmless Morphisec, its parent companies, subsidiaries, affiliated companies, officers, directors, employees, and agents from all liability, claims, losses, expenses, damages, and costs (including reasonable attorney's fees and litigation costs) resulting from or arising out of your breach of these Terms, your use of the Site or Content, or any violation of third-party rights by you. ## 12. Feedback Any feedback you voluntarily provide to Morphisec regarding your experience using the Site or Content shall be used solely to review feedback and improve the Site, Content, and Morphisec products and services. All ideas, inventions, and improvements (whether patentable or not) conceived or derived from any feedback you provide shall be owned exclusively by Morphisec, and you shall have no rights in connection therewith. ## 13. Governing Law and Dispute Resolution These Terms and the Privacy Policy constitute the entire legal agreement between you and Morphisec and govern your use of the Site and Content, replacing any prior agreements. Any waiver of these Terms is effective only if in writing and signed by the waiving party. These Terms and the Privacy Policy apply solely to the general use of the Site and displayed Content and do not apply to the use, access, or provision of any Morphisec products, software, or services (including those accessible through the Site). Such products, software, and services are subject only to applicable Morphisec terms governing them. These Terms shall be governed by and construed in accordance with the laws of the State of Israel (without regard to conflict of law principles). Any dispute arising from or related to these Terms will be brought solely in the courts of Tel Aviv, Israel. Before pursuing legal action, any claim must first be submitted to Morphisec as a complaint to legal@morphisec.com to enable friendly and effective resolution. Morphisec may seek injunctive or equitable relief to protect its intellectual property rights in any court of competent jurisdiction. Morphisec may assign these Terms or any rights hereunder to any third party at its sole discretion without prior notice.
